Nancy Love Williams focuses her practice in the fields of corporate and commercial law, with an emphasis on real estate, finance, equine law, health law, and mergers and acquisitions. She has represented financial institutions, security alarm companies, health care institutions, and other corporate clients, as well as entrepreneurs, in connection with their real estate, financing, and growth opportunities. Nancy also represents individuals and businesses involved in the equine industry. She has handled extremely complex transactions and delicate negotiations with great success.
In the area of finance, Nancy’s experience includes the representation of corporate borrowers as well as international, national, and super-regional banks and their subsidiaries, private equity funds, and private investment companies. Her practice includes loan origination as well as debt restructuring and workouts. She routinely handles complex syndicated credits, cross-border facilities, asset-based lending, letters of credit, and real estate finance. She has been published in The Banking Law Journal.
Prior to co-founding Williams & Hannon, Nancy was a shareholder at a major national law firm for a number of years. She previously served as corporate compliance director and in-house counsel for a large university medical system where she was responsible for the development and implementation of all aspects of the program designed to ensure system-wide compliance with federal and state laws and regulations. She also advised medical system management on corporate legal matters and routinely addressed health care, employment, and real property law issues and risk management matters.
Before beginning her legal career, Nancy worked in the fields of education and sports medicine. She is an avid horsewoman and owns three horses, including two retired racehorses.

Jim Hannon has extensive experience in both transactional and litigation matters. He has litigated matters for clients ranging from individuals to multinational corporations in front of both state and federal courts as well as in international arbitrations. Jim has focused his practice in the field of commercial law, with an emphasis on construction law and information technology (IT) law. He has represented construction and engineering clients, architects and design professionals, owners, and contractors in a variety of matters including contract negotiations and contract review, construction defect and design disputes, and mechanic's liens prosecution and defense. Jim also has extensive experience negotiating IT vendor contracts and litigating disputes occurring during IT installation projects. He also has litigated a wide variety of general commercial matters including vendor-vendee disputes, franchise matters, insurance matters, and other general commercial litigation. Jim has appeared in the courts of several states, several federal district courts, bankruptcy court, and several arbitration and mediation forums.
On the transactional side, Jim has experience with mergers and acquistions and in reviewing and negotiating a wide range of contractual matters. He has assisted in the formation of both stock and non-stock business entities and addressed general corporate legal issues. Jim has represented veterinary practices and others in the equine industry. He routinely advises entrepreneurs in business start-up matters.
Jim gained much of his experience at a large international law firm. Jim also has a great appreciation for the needs of the corporate client, having worked as an in-house attorney for a large pharmaceutical manufacturer negotiating commercial contracts including supply and sales, IT contracts, construction, real estate, and vendor agreements.
Prior to his legal career, Jim was an officer and aircraft navigator in the U.S. Air Force and an engineer for a defense contractor.

Heather A. Wyman

Heather Wyman has enjoyed a diverse practice serving myriad businesses, industries, and lenders in a wide variety of transactions, including mergers, acquisitions and dispositions, commercial transactions, as well as in debt, equity, and acquisition financings and leveraged buy-outs.
Prior to joining Williams & Hannon, Heather spent 25 years at a major national firm where she obtained extensive experience in a number of areas of law. In recent years, Heather’s practice has been focused primarily on lending and transactional work with an emphasis on the security alarm industry. She has represented lenders (often serving in the capacity as the agent for other lenders), as well as borrowers in syndicated facilities, single-bank facilities and bilateral facilities, including debt and equity financings and acquisition financings on secured and unsecured bases, asset-based financings and construction financings.
In her commercial real estate practice, Heather has drafted and negotiated leases, represented lenders/agents in collateralized financings of hotels, office buildings, apartment complexes and warehouse facilities and assisted in the preparation of title opinions related to Marcellus Shale projects. Heather also has extensive background as an environmental practitioner, including litigation, regulatory, and compliance experience. She has represented a broad range of privately and publicly held businesses, including steel fabricators, food processors, hospitals and nursing care facilities, the energy industries, retailers, and high-tech and heavy industry manufacturers.
She has also participated in the representation of clients subject to criminal investigation and prosecution and civil proceedings under the Occupational Safety and Health Act and the Federal Mine Safety and Health Act.
