General corporate and business law: We work with you to address your business law needs, whether you are just forming your business or have an established entity. We are experienced in forming and advising corporations, limited liability companies, and partnerships, and in particular advising them in the structure and negotiation of their transactions. Our mission is to assist you in achieving your operational and strategic objectives in your business contracts, mergers and acquisitions, financings (both debt and equity), or whatever your commercial law needs may be. We also advise corporations, their officers, and their boards of directors on matters of corporate governance.

Commercial finance and lending: We work with both borrowers and lenders in structuring financing transactions to suit specific business needs and advise them throughout the course of their financing, from loan origination to debt restructuring and workouts, if necessary. Our financing experience includes secured and unsecured loans (whether single-lender or syndicated), asset-based lending, construction and real estate finance, equipment leasing, transactions in the security alarm industry, and letter-of-credit transactions. We also have broad experience addressing cross-border issues as part of financings.

Real Estate: In our real estate practice, we represent clients, both real estate owners and developers, in negotiating, documenting, financing, and closing commercial real property transactions. We work in the areas of real estate development, commercial leasing, investment and finance, zoning, design and construction matters, residential real estate and closings.

Litigation: Disputes are a risk faced by all businesses. Handling them effectively and efficiently is a priority. Our commercial litigation practice is aimed at helping you do just that. We bring a wealth of experience in many different forums: state courts, federal courts, arbitration, mediation, and other alternative dispute resolution arenas. We keep in mind the overall goals of your business so that those goals don't get compromised in the heat of a dispute. But, no matter what the forum, we will vigorously fight as your advocate and strive to protect and pursue your interests.

Construction law: Our construction practice focuses on all phases of a construction project, starting with development, structuring and finance issues, all the way through adjudication or arbitration proceedings or litigation of claims. We counsel our clients regarding construction contracts, bidding documents, and other agreements related to project design, specification, construction, and financing, and we are experienced in drafting and reviewing such documents. We advise our clients on construction dispute avoidance, claim preservation, and alternative dispute resolution. We pursue or defend against mechanics' liens to protect our clients' interests. We will readily pursue litigation in the event such action becomes necessary.

Equine law: We represent individuals and businesses in both horse-related transactional and litigation matters. For clients ranging from stables to stallion syndicates, we address general business formation and business matters, draft and negotiate contracts, handle dispute resolution and litigation, and represent clients at governing body disciplinary hearings. We also are experienced in equine veterinary practice matters.
